Komori to host its 80th AGM of Shareholders on 17 June

Komori Corporation, a global manufacturer of printing machinery, has officially announced its notice of convocation for the 80th Annual General Meeting of Shareholders, scheduled to take place on Wednesday, June 17, 2026, at 10:00 a.m. (Japan time). The meeting will be held at the Nishiki no ma, 4th floor, Tobu Hotel Levant, Tokyo, Japan.

In a message addressed to shareholders, president and representative director Satoshi Mochida highlighted that the fiscal year ending 31 March 2027, will serve as the final year of the company’s 7th Medium-Term Management Plan and the launching pad for formulating its 8th plan. Amid rising international trade uncertainties, geopolitical risks, and raw material price fluctuations, the company aims to establish a self-directed, sustainable organization. Komori is targeting an overall return on equity (ROE) of 6% or more and an operating profit margin of 7% or more.

Shareholders will be asked to vote on several key business and governance proposals during the session:

  • Proposal 1: Appropriation of Surplus- The Board has proposed a year-end dividend of 35 Yen per common share for the fiscal year ended 31 March 2026. Combined with the interim dividend already paid, this brings the total annual dividend to 70 Yen per share, representing an aggregate year-end payout of approximately 1.87 billion Yen. The effective payment date is set for 18 June 2026.
  • Proposal 2: Election of Eight Directors- To bolster its corporate governance and strengthen management supervision, Komori is expanding its Board by proposing the election of eight directors—including an increase of one outside director. The slate includes the re-appointment of current leadership alongside new nominations, such as Akihiro Komori (new appointment) and Kayo Fujita (new outside, independent appointment).
  • Proposal 3: Election of a New Audit and Supervisory Committee Member- Following the resignation of Shinji Amako, the company has nominated Masaki Nakatsu, currently a senior operating officer, to step into the role of director and audit and supervisory committee member.
  • Proposal 4: Payment of Bonuses to Directors- In light of the company’s full-year operating results, a total of 45 million Yen is proposed to be distributed as performance bonuses to three eligible directors.

Mochida says, “Based on our purpose of ‘Delivering Kando ‘beyond expectations’ by contributing to society with print technology,’ and through business autonomy and cocreation, we will build the Komori Group to be a self-directed organization. We aim to achieve an overall ROE of 6% or more and an operating profit margin of 7% or more. In addition, we will steadily advance strategic investments and transform our business portfolio as the foundation for solid growth in new businesses, thereby continuing our work toward achieving business transformation,” he said.

Shareholders who do not plan to attend the meeting in person are encouraged to review the corporate reference documents and exercise their voting rights either online or via written mail. All non-attendance votes must be submitted by 5:30 pm on Tuesday, 16 June 2026 (Japan time).
