Directors “not validly appointed,” says Jagran in stock filing

Jagran seeks to remove independent directors Divya Karani, Shailendra Swarup, Anita Nayyar, Kemisha Soni, Pramod Agarwal, Shaalin Tandon and Arun Anant, as well as whole-time director Satish Chandra Mishra.

An internal tussle has erupted at media house Jagran Prakashan (JPL), which has informed stock exchanges that its holding company, Jagran Media Network (JMNIPL), has issued a special notice seeking the removal of seven independent directors and whole-time director Satish Chandra Mishra.

The independent directors named are Divya Karani, Shailendra Swarup, Anita Nayyar, Kemisha Soni, Pramod Agarwal, Shaalin Tandon and Arun Anant. The notice also calls for Mishra’s removal as whole-time director.

In its exchange filing, JPL said the directors were “not validly appointed,” alleging that Mahendra Mohan Gupta did not exercise JMNIPL’s voting rights as decided by its board.

The notice also requests an extraordinary general meeting (EGM) to consider the removals. JPL said its board discussed the notice and the EGM request at a meeting on February 12, 2026.

JPL added that it received a letter the same day from Mahendra Mohan Gupta, non-executive chairman of both JMNIPL and JPL, stating that the issue of voting rights is currently before the NCLT, Allahabad Bench, in two ongoing company petitions.

JPL said it will take appropriate legal steps and make further disclosures as required. The filing was made under SEBI’s Regulation 30 and signed by CFO and company secretary Amit Jaiswal.
